Discretion is not a footnote

If the employer may adjust targets, weightings, or payout curves mid-year, your “guaranteed feel” evaporates. We look for amendment rights that operate without your consent and without a works-council gate for your grade.

Deferral can be prudence or leverage

Holding a portion of variable pay across years may reflect regulatory culture — or it may simply extend the company’s hold on you. Ask how unpaid tranches behave on resignation, termination without cause, and change-of-control.

Clawbacks need a map
